Acadia Healthcare Continues to Expand its Network of Treatment Facilities
Acadia Healthcare’s mission is to create a world-class organization that sets the standard of excellence in the treatment of specialty behavioral health and addiction disorders. Helping Acadia to expand its network of treatment facilities, Waller represented the company in its $1.3 billion acquisition of CRC Health Group, Inc., a leading provider of treatment services related to substance abuse and other addiction and behavioral disorders. The transaction brings to Acadia 35 inpatient facilities and 81 comprehensive treatment centers. Waller also represented Acadia in arranging the financing for the CRC acquisition which involved the issuance of approximately 5,975,000 shares of the company’s common stock to former CRC stockholders and an offering of $375 million of senior unsecured notes. In addition, Waller helped Acadia raise additional funds for the transaction with a new incremental term loan facility and the amendment of the company’s existing revolving credit facility.
In July 2014, Waller served as U.S. counsel to Acadia in its $662 million acquisition of Partnerships in Care (PiC), the second largest independent provider of psychiatric services in the United Kingdom. Waller also served concurrently as sole legal counsel to Acadia in financing the acquisition through a public offering of common stock and a private offering of senior unsecured notes.
