Hospitals, Outpatient Healthcare Facilities and Senior Housing
Waller counsels owners, operators, developers and managers in a wide-variety of commercial real estate transactions in the healthcare and senior housing/long-term care industries. We advised a publicly traded hospital system as it spun off more than 70 rural hospitals into two new publicly traded companies, assembling the real property portfolios, performing nationwide due diligence and preparing the conveyance documents. Waller also represented a public healthcare REIT in the acquisition and leaseback of 10 skilled nursing facilities and the related assumption of bridge and FHA-insured loans.
Medical Office Buildings
Waller assists clients in the purchase and sale, development, management and leasing of medical office buildings. We represented a publicly traded hospital system in the spin-off of more than 110 medical office buildings across nearly 20 states to a newly created real estate joint venture. On the buyer-side, we counseled a publicly traded healthcare REIT in the acquisition of a 15-medical office building portfolio from a not-for-profit hospital system.
Waller also represents REITS, hospitals and other providers of healthcare services in the drafting and negotiation of office space leases, campus ground lease arrangements and development agreements for state-of-the-art medical facilities.
