David Clay is a partner with Waller Lansden and practices in the areas of mergers and acquisitions, general corporate law and securities law. His recent client representation includes both public and private healthcare companies, community banks, real estate investment trusts (REITs) and manufacturers.
Mr. Clay’s healthcare experience primarily focuses on the representation of hospital companies in strategic acquisitions and divestitures of healthcare facilities, as well as joint ventures with other providers of healthcare services, including physicians and physician groups. He also has represented an India-based pharmaceutical company in the strategic acquisition of two U.S. companies involved in the manufacture and distribution of generic inhalation anesthetic gas products.
Mr. Clay’s securities law experience includes counsel to publicly traded companies with respect to registered offerings of debt and equity securities, periodic reporting requirements, and Rule 13e-3 “going private” transactions and the delisting and deregistration of securities. He also advises both public and private companies with respect to private offerings of debt and equity securities, include Rule 144A offerings, and other capital-raising transactions.
