Jon Gaston is an associate with Waller Lansden practicing in the area of federal and state taxation. Mr. Gaston works closely with public and private corporations, limited liability companies, partnerships and individuals and provides counsel on a wide range of federal and state tax transactional issues, including tax planning, structuring mergers and acquisitions, business formations, dispositions, and other restructurings. He frequently represents clients before the IRS and state tax authorities in audits, appeals, and obtaining letter rulings. Mr. Gaston also advises clients on the new markets tax credit.
Additionally, Mr. Gaston advises clients on Tennessee state tax laws such as sales and use tax, franchise tax, excise tax and property tax. He has extensive experience related to the Tennessee tax aspects of the asset-backed securitization of debt obligations and frequently provides counsel to clients in this area.
Mr. Gaston’s experience also includes assisting tax-exempt and nonprofit organizations on a variety of matters, including formations, intermediate sanctions, restructuring, maintaining tax-exempt status, reporting issues and state and local taxation.
