Since joining the firm in 1987, Ms Guest has practiced in the areas of healthcare, joint ventures, mergers and acquisitions, securities, venture capital and emerging business, partnership/LLC law, investment counsel and general business law.

Ms Guest represents healthcare providers on alignment strategies including the acquisition and divestiture of healthcare facilities, joint ventures with physicians and other healthcare providers, physician practice acquisitions, and healthcare regulatory issues including the Anti-Kickback Statute and Stark law. Ms Guest has represented healthcare providers in hundreds of transactions, including joint ventures, mergers, acquisitions, reorganizations and divestitures of distressed facilities, and formation and securities offerings. Her industry experience includes hospitals, physician practices, ambulatory surgery centers, dialysis clinics, sleep labs, cancer centers, inpatient and outpatient rehabilitation facilities and diagnostic facilities.

Ms. Guest also advises public pension plans with respect to alternative investment analysis and advice. Ms Guest also has advised public and privately-held companies in a variety of industries in connection with finance, reorganization, partnership/LLC law issues ranging from governance rights to fiduciary duties, securities offerings, mergers, asset and stock acquisitions. Additionally, she has provided counsel to venture capital investors and companies in investments at all stages of the investment cycle.

In July 2010, Ms. Guest was recognized in Nashville Medical News’ InCharge Healthcare listing of industry leaders in the Nashville healthcare community. She has been widely published on a broad range of healthcare topics. Ms. Guest coauthored the article "Is it Time to Resurrect Physician Practice Management Organizations?," which was published by HealthLeaders Media in March 2010. Her article "Hospital-Physician Joint Ventures in a Changing Regulatory Environment: Planning for an Unwind" was published in January 2009 in the Journal of Health and Life Sciences Law.

Additionally, Ms. Guest is a highly sought-after speaker on legal topics. In August 2010, she presented on physician/hospital alignment strategies at the World Health Care Congress’ eighth annual Health Care Quality Congress. In September 2010, Ms. Guest discussed LLC and partnership agreements at the California Ambulatory Surgery Associations annual conference. Ms. Guest has spoken on venture capital investing and been a speaker on the topics of Joint Venture Unwind and Buy-out Protections, Resyndication and Buyback Issues, Compliance Plans, The Anti-Kickback Statute Safe Harbors at the American Health Lawyers Association Hospital Institute and at the annual meetings of the ASC Association and Tennessee Bar Association Health Law Section.
