David Head is a partner with Waller Lansden in the firm’s corporate practice. He focuses primarily on securities, joint ventures, venture capital, partnership/LLC law, mergers and acquisitions and general business law in the healthcare industry where he represents companies operating on local, regional, national and international levels.
Mr. Head represents hospital companies in strategic acquisitions and divestitures of healthcare facilities, as well as in joint ventures with other providers of healthcare services, including physicians and physician groups. Mr. Head also has advised public and privately held companies in a variety of industries in connection with finance, reorganization, and partnership/LLC law issues ranging from governance rights to fiduciary duties, securities offerings, mergers, and asset and stock acquisitions.
Mr. Head recently represented an international pharmaceutical firm in two separate acquisitions of publicly traded U.S. pharmaceutical companies. He also provided counsel to a publicly traded European biotechnology company in its merger with a private biotech firm based in California. He represented one of the nation’s leading revenue cycle management companies in its private equity recapitalization and also provided counsel to a private hospital company in its $315 million acquisition of nine hospitals from a publicly traded hospital system and its subsequent issuance of $500 million in high yield debt.
Additionally, Mr. Head has represented the nation's largest provider of outpatient surgery, diagnostic and rehabilitation services in numerous transactions, including the development, syndication, acquisition and divestiture of surgery and imaging facilities.
