Ken Marlow is a partner at Waller Lansden and practices in the areas of mergers and acquisitions, securities, corporate law and governance. His practice focuses on the healthcare industry, and he has extensive experience covering a diverse array of corporate transactions, including acquisitions, divestitures and joint ventures; venture capital; and private equity investments. Mr. Marlow recently was appointed to the Board of Directors of Leadership Health Care as a result of his strong practice in the healthcare industry. He also heads Waller Lansden’s home health and hospice initiative.
Bringing a responsive, pragmatic approach to client representation, Mr. Marlow has assisted healthcare companies in hundreds of transactions, including the development, syndication, acquisition and divestiture of home health companies, hospices, hospitals, outpatient surgery centers and dialysis centers. Recently, Mr. Marlow led a team in representing a private equity company in connection with its $300 million acquisition of a home health company.
Mr. Marlow also has broad securities law experience, including underwritten public securities offerings involving both equity and debt, as well as private placement offerings. Mr. Marlow serves as securities counsel for a Fortune 500 company with a market cap of $7 billion and also assists clients with their periodic public reporting under the Securities Exchange Act of 1934.
Additionally, Mr. Marlow counsels companies and their boards of directors with respect to some of the most difficult and sensitive corporate disclosure, governance and policy issues, including compliance with the Sarbanes-Oxley Act.
