Scott Rayson is a partner at Waller Lansden and has extensive experience in the areas of corporate law, mergers and acquisitions, corporate and business relocations, securities, finance and health law. His practice focuses particularly on the acquisition and divestiture of businesses, including hospitals and other healthcare businesses. Mr. Rayson is recognized in The Best Lawyers in America (Woodward White, Inc.) and America’s Leading Lawyers for Business (Chambers & Partners) for his work in corporate law, healthcare law and mergers and acquisitions law.
Representing an investor-owned hospital company, Mr. Rayson recently served as lead counsel on the sale of ten hospitals with combined annual net revenue of $600 million. In the past year, he assisted the company in the outright or majority interest acquisition of more than 20 diagnostic imaging centers. Mr. Rayson's transactional experience extends across a broad range of industries in addition to healthcare. He recently represented a leading manufacturer of softball equipment in its acquisition by a California sporting goods manufacturer.
Mr. Rayson has extensive joint venture experience, including joint ventures between proprietary and tax exempt organizations. He recently served as lead counsel in the acquisition of a hospital by a joint venture between and investor-owned hospital company and a university medical center.
Mr. Rayson's experience includes the negotiation and implementation of state and local tax and other incentives for the relocation or development of corporate headquarters, major manufacturing facilities and professional sports franchises. He recently negotiated aspects of the tax incentive package related to the relocation of the North American corporate headquarters of an automobile manufacturer.
Mr. Rayson has been a speaker at seminars sponsored by both the Health Law Section of the American Bar Association and the American Health Lawyers Association regarding various business transactions among healthcare organizations. His publications include "Hospital Joint Venture Transactions Between Tax Exempt and Proprietary Organizations," published in 1997 by the National Health Lawyers Association.
