Sean Sullivan is a partner at Waller Lansden. He represents and advises clients in connection with the establishment and administration of tax-qualified retirement plans, including profit sharing, 401(k), cash balance and traditional pension plans. He also works extensively in the areas of welfare and fringe benefit plans, as well as specialized employee benefit arrangements such as employee stock ownership plans (ESOPs) and voluntary employees' beneficiary associations (VEBAs).
Mr. Sullivan has represented sellers, purchasers, creditors and borrowers on employee benefits issues in mergers, acquisitions and financings. He also regularly advises both publicly and privately held corporations in the design and administration of equity-based compensation plans, such as stock option, restricted stock and phantom stock plans, and various types of executive compensation arrangements. He has experience representing clients in disputes and negotiations with the Internal Revenue Service, Department of Labor and Pension Benefit Guaranty Corporation and in litigation under the Employee Retirement Income Security Act of 1974 (ERISA).
