Beth Vessel is a partner of Waller Lansden and practices in the areas of mergers and acquisitions, antitrust law, financial services (including bank regulatory matters) and general business transaction law.
Ms. Vessel recently assisted a private equity firm in its divestiture of an institutional pharmacy business serving long-term care facilities and correctional facilities with more than 40,000 licensed beds. During her career with Waller Lansden, Ms. Vessel has worked on more than private placement memorandums, as well as mergers, acquisitions and divestitures, primarily in the healthcare industry. She has extensive experience in physician and provider joint ventures.
Ms. Vessel also has worked on several pre-merger notification filings under the Hart-Scott-Rodino Act. Her experience includes HSR filings related to a $560 million transaction in the healthcare industry which resulted in a second request from the Federal Trade Commission, the divestiture of a major retail insurance subsidiary, the significant divestiture of an automobile manufacturer’s transportation and logistics subsidiary based in Tennessee with international operations and a consumer products manufacturer’s acquisition of a chief competitor. She also regularly advises clients with respect to antitrust concerns related to acquisitions, joint ventures and other business relationships.
Ms. Vessel also practices in the financial services area, assisting banks, bank holding companies and other financial institutions with state and federal regulatory requirements related to stock offerings. Additionally, she has extensive experience reviewing indentures and security documents and advising national financial institutions engaged in secured debt offerings.
