David Wilson is a partner at Waller Lansden and practices in the areas of securities, mergers and acquisitions, corporate governance and general corporate law. Mr. Wilson represents private and publicly-traded companies on various securities matters, including equity and debt public offerings, private placements and compliance with requirements of the Securities and Exchange Commission, New York Stock Exchange and NASDAQ. He has counseled companies in various industries in raising capital through public and private offerings and recently represented a NASDAQ-listed bank holding company in an underwritten public stock offering. He has also represented issuers of trust preferred securities in raising approximately $140 million in bank holding company equity and assisted a public behavioral healthcare services provider in raising $250 million through the issuance of senior subordinated debt.

Mr. Wilson has extensive experience representing public and private companies in mergers and acquisitions, with a focus in highly regulated industries, including banking and healthcare. Recently, he assisted a NYSE-listed bank holding company with three mergers that represented more than $660 million in combined assets.

Mr. Wilson also has extensive experience representing healthcare clients in a wide range of mergers, acquisitions and securities offerings. He recently provided counsel in the $400 million acquisition of a private dental practice management company.

Mr. Wilson's article on the compensation and corporate governance practices of public bank holding companies in the Southeast was published in the January 2009 issue of Community Banker, a publication of the American Bankers Association. He was also quoted in a 2009 Wall Street Journal article regarding executive compensation and corporate governance.
