RCCH HealthCare Partners acquired Trios Health in a $78 million transaction which included the purchase of assets from the Washington State Hospital District. The hospital will be operated by RCCH-UW Medicine Healthcare Holdings, LLC, a joint venture formed by RCCH and UW Medicine, the healthcare arm of the University of Washington. Trios Health is the second hospital to be part of the RCCH-UW Medicine joint venture which operates and manages community and rural hospitals in Washington, Alaska and Idaho.
Waller provided transaction, real estate, healthcare regulatory and tax counsel to RCCH in the transaction, which involved the purchase of assets from the Washington State Hospital District which had filed bankruptcy in 2017; the negotiation of a lease of the hospital facility/land from an affiliate of Goldman Sachs; and the negotiation of a lease of a 161,885 rentable square feet medical office building from a publicly-traded healthcare REIT.
