Over a legal career spanning nearly two decades, Richard has played a critical role in helping financial services clients grow through mergers and acquisitions, stock and debt offerings and other capital raising activities. Richard assists financial institutions with corporate formations and restructurings, recapitalizations, corporate governance, and a host of complex regulatory issues. He also has extensive experience representing financial institutions in examinations, investigations and enforcement proceedings before federal and state financial institution regulatory agencies. Richard also represents public and private trust companies in Tennessee in the organizational process and in connection with ongoing operational matters.
Prior to joining Waller in 2014, Richard was a partner in the Financial Institutions Team of Womble Carlyle's Capital Markets Business Group in Atlanta.
Served as legal counsel to FirstBank in its $100 million subordinated notes offering.
Represented BancorpSouth Bank in its public offerings of $300 million of Subordinated Notes and $150 million of Series A Preferred Stock.
Advised FB Financial Corp. in the acquisition of FNB Financial and subsidiary Farmers National.
