Corporate attorney with private equity focus

Andrew Montgomery, a member of Waller’s corporate practice, advises private equity firms on the placement of capital, fund formation and operational matters. This includes preparing private placement memorandums and ancillaries and assisting with carried-interest arrangements. Andrew also advises early-stage companies in entity formation and structure, prepares governing documents, and serves as counsel on local, state, and federal corporate filings.

In addition to working with private equity firms and emerging companies, Andrew has experience in mergers and acquisitions and other strategic transactions, including commercial real estate acquisitions and related purchase agreements. He has also handled executive compensation and termination matters.

Prior to joining Waller, Andrew served as an associate for The Advisory, PLLC. Prior to that, he worked as a Major League Baseball Players Association (MLBPA) Agent for VC Sports Group where he researched, analyzed, and formulated baseball arbitration cases and advised on player contracts and company agreements.
