Mergers & Acquisitions
With more than 200 experienced healthcare attorneys, Waller plays a prominent role in many high-profile acquisitions across a wide range of sectors within healthcare. We provide sophisticated yet practical advice to healthcare acquirers, targets, sellers, investors and boards of directors. For many years, we have represented some of the largest public, not-for-profit and private companies in every phase and facet of their healthcare transactions.
Healthcare providers, institutional investors, private equity and venture capital funds, investor groups and financial advisors value Waller's abilities in complex business transactions across virtually every sector of the healthcare industry, including:
Our attorneys have extensive experience representing clients in their joint ventures throughout the country. We represent a variety of providers in their partnerships with hospitals, health systems, physician groups, management companies, outpatient service providers and more. Our expertise spans the entire continuum of care from acute care providers to home health and hospice organizations.
Provider Enrollments and Changes of Ownership (CHOW)
Healthcare transactions involving Medicare, Medicaid and third-party payor contracts are complicated, and our attorneys assist in qualifying and enrolling in such contracts. We also assist clients in navigating the complex change of ownership applications that are needed after a transaction is completed. Waller has worked on many transactions for providers with multiple facilities throughout the United States, assisting them with 855 applications, CHOW filings and other government applications to ensure that the purchased assets or businesses run smoothly post close.
CMS, Stark, Self-Disclosure Filings
In many instances, companies lack the nuanced background and knowledge regarding self-disclosure filings. Our attorneys have the ability to quickly identify issues that could be present or the arrangements that must be disclosed before closing transactions and the impact of these self-disclosures on the buyer. We have long-standing experience in settling self-disclosures with CMS, advising sellers when to self-disclose and providing real-world advice. Waller attorneys have vast knowledge on the process, including the timing and the potential financial implications of a settlement.
Since the early days when hospital companies were merging or acquiring their competitors, our attorneys have been at the forefront of these transactions. Our attorneys counsel clients on the associated risks accompanying such transactions when they seek to join with competitors. Waller's experienced healthcare attorneys have the industry knowledge to help clients structure joint ventures and advise on the level of control needed to negotiate with payors.
We advise our clients on day-to-day business activities including compliance, information sharing in both the due diligence and integration context, potential conflicts, documentation, appropriate communication in early stages of a deal, pricing policies, distribution and more. We also assist clients in determining the need for and filing any pre-merger notification report forms required under the Hart-Scott-Rodino Act and in discussing proposed transactions with the Federal Trade Commission and Department of Justice.
